Be sure to read these Terms of Use of Red Executive ("Red Executive"), as they cover the terms and conditions that apply to your use of the Red Executive website ("Site") and the on-line recruitment and information services offered through it ("Service"). By using the Site or the Service you ("You") are agreeing to be bound by these Terms of Use. Red Executive may change these Terms of Use from time to time. By continuing to use the Service or accessing the Site following any such change, you accept and agree to be bound by all changes. These Terms of Use supersede any prior advertisements, terms, agreements or communications between You and Red Executive and constitutes the entire agreement between Red Executive and You in respect of its subject matter.

The Terms of Use contain the terms which apply to Your access to the Site and the Services. They contain limitations of Red Executive's liability and exclusions of warranties. No proposed variation, amendment or changes to these Terms of Use are valid or have any effect. If you do not agree to these Terms of Use You must not use the Service and must leave the Site.

  (c) post or transmit any advertisements, solicitations, chain letters, pyramid schemes, investment opportunities or commercial schemes of any kind or other unsolicited commercial communication (except as otherwise expressly permitted by Red Executive) or engage in "spamming", "spoofing" or "flooding"; or
  (d) post or transmit any software or material which contains any "virus", "trojan horse", "worm", "data bomb", "logic bomb" or any other similar component; or
  (e) copy, modify, licence, create derivative works from, transfer, post, publish, transmit, reproduce, distribute or in any way exploit:

• any information, software or other material obtained through the Service or from the Site for commercial purposes (other than as expressly permitted by these Terms of Use or the provider of such information, software or other material); or
  
  
• any information, software or other material obtained through the Service which is protected by copyright or any intellectual property rights or other rights anywhere in the world, or any derivative works with respect to such works in each case except if expressly permitted by these Terms of Use or the copyright owner or rights holder; or
  
  
• any component of the Service itself or derivative works with respect thereto.

• Red Executive has the right (but not the obligation) to monitor the Service electronically from time to time and to disclose any information as necessary or appropriate to satisfy any law, regulation or other governmental request, to operate the Service properly, or to protect itself, its group companies or its other subscribers. Red Executive will not intentionally monitor or disclose any private electronic-mail message unless required by law.
  
  
• You agree to defend, indemnify and hold Red Executive and its affiliates harmless from any and all claims, actions, proceedings, losses, damages, liabilities, costs and expenses, including reasonable legal fees, arising in any way from your use of the Service and/or the Site or the placement or transmission of any message, information, software or other materials through the Service by You or any users of Your account or any violation of these Terms of Use by You or any users of Your account.
  
  
• You must:
  (a) provide for Your own access to the Internet and pay all associated telecommunication service and access fees;

Red Executive makes no representation, warranty, commitment in relation to the provision of the Site and the Service including those as to the availability, the quality or fitness for purpose of the Site and the Service, or the completeness, accuracy and up-to-datedness of any information, data, services, or products provided through or in connection with the Service or Site.
  
  
• To the maximum extent permitted by applicable law Red Executive disclaims and excludes all liability (whether arising in contract, tort (including negligence), breach or statutory duty or otherwise) arising from any inaccuracy, failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction or unauthorized access to, alteration of, or use of record. Under no circumstances shall Red Executive be liable to You for any loss or damage suffered (both direct and indirect losses) arising from Your use of the Site and Service.
  
  
• Nothing in these Terms of Use shall operate to limit liability for death or personal injury caused by Red Executive's negligence, fraudulent misrepresentation made by Red Executive or any other statutory rights which are not capable of being excluded.
  
  
• Red Executive shall not be liable for any failure to perform any obligation caused by any event beyond its reasonable control.
  

Intellectual Property Rights

• Red Executive and its licensors are the owners and/or authorized users of any trademarks, registered trademarks and/or service marks used or appearing within the Site, and are the copyrights and database rights owners of the content and/or information available on or downloaded through the Site. Without prejudice to the generality of Paragraph 2, You may not download and/or save a copy of any of the screens or other information provided through the Service or Site for any purpose except as otherwise provided by express permission of Red Executive.

• You acknowledge and agree that Red Executive may in its sole discretion deny you access to the Site, Service, or to access third party services, merchandise or information on the Internet through Red Executive, and Red Executive shall have no responsibility to notify any third-party providers of services, merchandise or information nor any responsibility for any consequences resulting from lack of notification.

General

• The Terms of Service, our Privacy Policy and the relationship between you and Red Executive shall be governed by the laws of Scotland. You and Red Executive agree to submit to the exclusive jurisdiction of the Courts of Scotland.
  
  
• The failure of Red Executive to exercise or enforce any right or provision of the Terms of Use shall not constitute a waiver of such right or provision. If any provision of the Terms of Use is found by a court of competent jurisdiction to be invalid or unenforceable, the other provisions of these Terms of Use shall be unaffected and remain in full force and effect.
